1. Definitions
- Hybrid Booking: The booking engine platform and system provider operated under PT. Reservasi Indonesia Sejahtera.
- Vendor: A company or business entity that uses the Hybrid Booking system to sell and promote its products and utilizes the Affiliate Program to appoint Agents.
- Agent: An individual or legal entity that applies to and is approved by a Vendor to promote the Vendor’s products through the Affiliate Program.
- Affiliate Program: A feature within the Hybrid Booking system that allows Vendors to appoint Agents, assign commission structures, and track bookings generated by Agents.
- Product: Any service or offering listed by the Vendor in the Hybrid Booking system and made available for booking.
- Affiliator Page: A landing page generated by the system that displays products promoted by an Agent and enables users to make bookings.
- Commission: The fee or percentage agreed by the Vendor to be paid to the Agent for successful bookings generated through the Affiliate Program.
2. Scope of Service
1. Hybrid Booking provides a technology platform that enables Vendors to:
- Manage affiliate applications;
- Approve or reject Agent requests;
- Configure commission structures;
- Track bookings generated by Agents;
2. Hybrid Booking acts solely as a system and technology provider and is not a party to any commercial agreement between Vendors and Agents.
3. Agent Application and Approval Process
1. Any party wishing to become an Agent must submit an application through the official request form provided by the System.
2. Upon submission, the Vendor has full authority to review, approve, or reject the Agent application.
3. If the Vendor rejects the application:
- The System will automatically notify the Agent of the rejection;
- This notification is mandatory and cannot be disabled or modified.
4. Any further review, appeal, or communication outside the System (including but not limited to email or direct communication) is the sole responsibility of the Vendor.
5. Vendors may manually create Agent accounts outside the automated approval flow at their own discretion.
4. Commission Structure
1. Prior to approving an Agent, the Vendor must define the commission structure applicable to the Agent.
2. Commission may be configured using one of the following methods:
- a. All Products Commission
- The Vendor assigns a single commission rate that applies equally to all Products promoted by the Agent.
- b. Product-Based Commission
- The Vendor assigns different commission rates for each individual Product promoted by the Agent.
3. Commission values are determined solely by the Vendor and may differ between Agents.
4. Hybrid Booking does not determine, negotiate, or guarantee any commission rate.
5. Agent Approval and Access
1. Once the Vendor approves an Agent application and sets the commission:
- The System will send an email confirmation to the Agent;
- The email will include access credentials and commission information.
2. Agents are responsible for maintaining the confidentiality of their access credentials.
6. Agent Account Setup Requirements
After approval, the Agent must complete the following steps through their dashboard:
- Provide complete and accurate profile information;
- Submit valid bank account details for commission withdrawal.
The Agent may only begin using the Affiliate Program once:
- All required profile information has been completed; and
- The bank account information has been reviewed and approved by Hybrid Booking.
7. Affiliate Code and QR Code
1. Each approved Agent will be assigned a unique affiliate code.
2. The affiliate code may be generated into a QR code via the System.
3. Agents may use the QR code or affiliate link for promotional purposes, including printing or sharing on digital and social media channels.
8. Affiliator Page and Booking Flow
1. Accessing an Agent’s affiliate link or scanning the assigned affiliate QR code shall automatically redirect users to the Affiliator Page.
2. The Affiliator Page displays Products that the Agent is authorized to promote.
3. Users may make bookings only for Products available on the Affiliator Page.
4. Promotional codes, voucher codes, or discount codes shall not be applicable on the booking page accessed through the Affiliator Page. Any promotional code entered (including but not limited to codes such as "SUMMERPROMO") shall not reduce, modify, or affect the sale price of Products booked through the Affiliate Program, nor shall it impact the commission structure assigned to the Agent.
9. Booking, Commission Calculation, and Withdrawal
1. All bookings made through the Affiliator Page will be recorded in the System.
2. The Vendor will have access to booking information generated by Agents.
3. Commission fees will be calculated automatically by the System at the time of withdrawal.
4. Hybrid Booking does not guarantee the commercial outcome of bookings or the accuracy of Vendor-defined commission rules.
5. In the event of a system error affecting commission calculation, Hybrid Booking will use reasonable efforts to fix the system issue but shall not be liable for commercial losses arising from such errors.
10. Responsibilities and Disclaimers
1. Role of Hybrid Booking
Vendors are solely and fully responsible for:
- Reviewing, approving, rejecting, and managing Agent applications;
- Hybrid Booking does not act as, and shall not be deemed to be, an agent, broker, representative, partner, employer, or joint venture of any Vendor or Agent.
- Hybrid Booking does not participate in, control, or have authority over the commercial relationship, contractual terms, commission arrangements, or business decisions between Vendors and Agents.
- The System is provided on an "as-is" and "as-available" basis without any warranties, whether express or implied, except as required by applicable law.
2. Vendor Responsibilities
Vendors are solely and fully responsible for:
- Reviewing, approving, rejecting, and managing Agent applications;
- Determining, configuring, and communicating commission structures and rates applicable to Agents;
- Ensuring the accuracy, legality, and compliance of all Products, pricing, promotions, and content listed through the System;
- Paying commissions to Agents in accordance with the agreed commission structure and applicable laws and regulations;
- Handling and resolving any disputes, claims, or complaints raised by Agents or customers relating to Products, bookings, or commissions.
3. Agent Responsibilities
Agents are solely and fully responsible for:
- Ensuring that all information provided in their profile and bank account details is accurate, complete, and up to date;
- Conducting promotional and marketing activities in a lawful, ethical, and professional manner;
- Complying with all applicable advertising, consumer protection, data protection, and marketing laws and regulations;
- Refraining from making any misleading, false, or unauthorized representations regarding the Vendor, Products, or the Affiliate Program.
4. Disclaimer of Liability
- Hybrid Booking shall not be responsible or liable for any disputes, losses, damages, delays, or claims arising between Vendors and Agents, including but not limited to commission disagreements or payment issues.
- Hybrid Booking does not guarantee booking volumes, sales performance, revenue, or commission outcomes generated through the Affiliate Program.
- Except in cases of proven system malfunction, Hybrid Booking shall not be liable for any errors arising from commission values, pricing, or configurations set by the Vendor.
11. Indemnification
The Vendor and the Agent agree to indemnify, defend, and hold harmless Hybrid Booking, PT. Reservasi Indonesia Sejahtera, its directors, officers, employees, and affiliates from any claims, losses, liabilities, damages, or expenses arising out of:
- The use or misuse of the Affiliate Program;
- Disputes between Vendors and Agents;
- Violation of applicable laws or third-party rights.
12. Limitation of Liability
To the maximum extent permitted by law, Hybrid Booking shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of profit, or business interruption arising from the use of the Affiliate Program.
13. No Endangerment Clause
The Vendor and the Agent agree not to take any action, directly or indirectly, that may place Hybrid Booking in a legally, financially, or reputationally dangerous position as a result of participation in the Affiliate Program.
14. Modification of Terms
Hybrid Booking reserves the right to modify or update these Terms at any time. Continued use of the Affiliate Program after such changes constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Indonesian courts.
